The above Terms will be applied from August 1, 2023.

 

Chapter 1: General

 

Article 1 Purpose

The purpose of these Terms and Conditions is to stipulate the rights, obligations, and responsibilities of and the Company in using the services provided by Wiinfluencer (hereinafter referred to as the ”Service”) operated by Wise Commerce Corporation (here in after referred to as the ”Company”), and to guide non-members in using the Service.

 

Article 2 Definition of Terms

1. 1. The definitions of the terms used in this Agreement are as follows.

① Service: means all services related to Wiinfluencer provided by the Company for users to use regardless of the device on which it is implemented (including various wired and wireless devices such as PCs and handheld devices), and API applications or web/app services developed using them.

② Member: A person who has registered as a member of Wiinfluencer and can continue to use the services provided by the Company.

③ Non-member: A person who uses the services provided by the Company without registering as a member.

④ Brand: A person who promotes products through Wiinfluencer and sells products to users through targeted links.

⑤ User: Refers to both members and non-members.

⑥ ID: Means a combination in the form of an email selected by the Member and verified by the Company to identify the Member and use the Service.

⑦ Password: Means a combination of letters or numbers determined by the 'Member' for personal information and verification of the Member.

⑧ Domain: Means a unique Internet address applied for by the Member and granted by the Company for the Member's use of the Service. For all services provided by the Company, the Company may provide additional separate domain addresses depending on the service.

⑨ Points: means certain non-cash assets granted by the Company to the Member as a result of using the Services provided by the Company and by certain criteria.

⑩ Content: means the posting of texts and images that record a comprehensive evaluation of products.

⑪ Dormant Account: means an account that has been inactive for some time and has limited functionality such as login.

⑫ Withdrawal: means to cut off the relationship with a service or organization that was in a relationship with the Company and withdraw.

2. 2. The definitions of terms used in these Terms shall be as stipulated in the relevant laws and regulations and service-specific guides, except as stipulated in Paragraph 1.

 

Chapter 2 Member Account and Agreement

 

Article 3 Member's ID and password

1. 1. Members shall use one account per person in principle, and if a member is found to be intentionally creating and operating multiple accounts, he/she may be restricted from using the service.
2. 2. Members are responsible for managing their IDs and passwords.
3. 3. Members shall not provide their ID and password for use by third parties.
4. 4. The Company shall not be liable for any damage to the use of the Service caused by the Member's negligent management of the ID and password, or any damage caused by the unauthorized use of the Service by a third party without the intentional or gross negligence of the Company.
5. 5. If a member recognizes that his/her ID and password have been stolen or are being used by a third party, he/she shall immediately notify the Company and follow the Company's instructions.

 

Article 4 Conclusion of the Use Agreement

1. 1. The use contract is concluded by the member signing up as a member after agreeing to the terms of service on the membership page provided by the service.
2. 2. Membership can be applied for by individuals who are 14 years of age or older.
3. 3. The Company may subsequently terminate the use contract for applications falling under any of the following items.

① If the applicant has previously been disqualified from membership under these Terms and Conditions.

② If the applicant applies using a third party's e-mail address

③ If the applicant provides false information or fails to fill in the information requested by the Company.

④ If the user intends to use the service for fraudulent purposes.

⑤ If the application cannot be approved due to reasons attributable to the user or if the application is made in violation of other stipulated provisions.

⑥ If it is determined that the member is not suitable for the company's policy or if it is difficult to provide the service.

⑦ If the member's purpose of use or method of using the service infringes or may infringe on the company's property rights or goodwill.

⑧ If the member engages in the mass creation of IDs and domains through abnormal methods.

5. 4. The Company may categorize members by grade by the Company's policy and make differential use of the service by subdividing the use time, number of times, service menu, etc.
6. 5. The member may terminate the use contract by requesting the company to withdraw membership at any time.
7. 6. If there is a change in the contents of the personal information entered at the time of membership registration, the member shall immediately correct the change and enter it. The Company shall not be liable for any damage to the member caused by the delay in change.
8. 7. The Company may collect and use the personal information and other information items requested by the Member by adding, deleting, etc. by applicable laws and the Company's privacy policy.

 

Article 5 Obligations of the Company

1. 1. The Company shall endeavor to provide continuous and stable services.
2. 2. The Company shall equip and operate a security system appropriate to the current level of development of Internet security technology and the nature of the services provided by the Company so that users can use the services safely.
3. 3. The Company shall handle opinions or complaints raised by users when it recognizes that they are legitimate. At this time, the process of handling shall be communicated to customers by mail and bulletin boards.
4. 4. The Company shall comply with laws and regulations related to the operation and maintenance of the Service, such as the Act on Promotion of Information and Communications Network Utilization and Information Protection, the Communications Secrets Protection Act, and the Telecommunications Business Act.

 

Article 6 Obligations of Users

1. 1. Users shall not engage in any of the following acts.

① Registration of false information when registering for membership or changing membership information

② Stealing other people's information

③ Imitating the Company's operators, employees, or companies or stealing related information

④ Changing information posted by the Company

⑤ Infringement of intellectual property rights such as copyrights, trade secrets, patents, etc. of the Company and other third parties

⑥ Harassing, threatening, or defaming the Company, other users, and other third parties

⑦ Disclosing or posting obscene, violent messages, or other information contrary to public order and morals.

⑧ Posting advertisements and promotional materials that have not been negotiated in advance with the Company.

⑨ Acquiring user information through hacking

⑩ Other illegal acts that violate current laws and regulations.

 

Chapter 3 Services

 

Article 7 Provision and Change of Services

1. 1. The Company provides the following services to users.

① Recruitment and selection of members to promote the brand's goods or services

② Providing information on the effectiveness of targeted links shared through the Member's activities

③ Other tasks determined by Wiinfluencer.

1. 2. The Company may temporarily suspend the provision of the Service if there is a substantial reason for maintenance, inspection, replacement, or breakdown of information and communication facilities, communication interruption, or operation. In this case, the Company shall notify the user by posting a notice on the notice board. However, if there are unavoidable reasons that the Company cannot notify in advance, it may notify afterward.
2. 3. The Company does not grant the User the right to use the Company's or the Service's trade names, trademarks, service marks, logos, domain names, and other identifiable brand characteristics unless the Company has separately concluded a written contract with the User to grant the User the express right to use the Service and its characteristics.
3. 4. The form, function, and design of the services provided by the Company may be changed or discontinued from time to time if necessary. In this case, the Company will not notify the user in advance of individual changes, but if it is deemed to be unfavorable to the user, it will be notified by posting it on the electronic bulletin board.
4. 5. If the service provided under the preceding paragraph is changed or discontinued, the user will not be compensated separately for the service provided for free. However, if the service cannot be provided for reasons such as switching business items, abandoning the business, or integration between companies, the company will notify the user by posting a notice on the bulletin board and paying points to the members. The calculation method of points will be notified in advance through the bulletin board, and the timing, content, and source of payment may be changed according to company policy.

 

Article 8 Sharing of User's Information and Posts with Third Parties

1. 1. The Company shall share the User's personal information with third parties only in the manner specified in the Privacy Policy.
2. 2. In connection with the Service, the Company may compile and use all or part of the User's personal information into statistical data that cannot distinguish the information of a particular User without the prior consent of the User.
3. 3. Your personal information may be collected or used separately by third parties to match advertisements that are appropriate for you to see.

 

Article 9 Placement of Advertisements

1. 1. In connection with the operation of the Service, the Company may post advertisements including various banners and links by utilizing member information and information entered by users. This is a measure to reveal the source of the content provided or based on the contractual relationship with the member. The user agrees to the placement of customized advertisements exposed when using the service.
2. 2. the Company's Services may display advertisements, some of which may be paid advertisements from third parties.
3. 3. the Company's Services may contain links to external sites, apps, or other resources. The Company is not responsible for any losses and damages caused by your participation in the promotion of brands through the advertisements or services posted, or by your correspondence or transactions.
4. 4. If you click on a link contained in a post to go to a page on another site, that site is not affiliated with the Company.

 

Article 10 Provision of information via e-mail

1. 1. The Company may provide various information deemed necessary for the user to use the Service to the e-mail address provided by the user.
2. 2. The Company may send commercial e-mails for commercial purposes by utilizing member information to operate the Service. If the user does not want to do so, he/she can refuse to receive it at any time through the service homepage or the internal setting page of the service.
3. 3. The Company may send e-mails regardless of the user's consent in the following cases.

① In the case of sending a verification e-mail to confirm the ownership of the e-mail address entered in the application for use.

② When sending an authentication email to confirm that the user's information has changed.

③ If the Company determines that it is important information that the user must know to provide other services.

 

Article 11 Restriction of Service Use

1. 1. The Company may restrict or suspend all or part of the Service without notice when force majeure events such as natural disasters or national emergencies, technical defects that are difficult to resolve, or serious changes in the operation of the Service occur or are expected to occur.
2. 2. The Company is not responsible for any problems between users that occur in the service area by using the service.
3. 3. If the member's negligence in managing the ID and password causes damage to the member in using the service, or if the member violates the obligations of the member such as unauthorized use by a third party, the use of the ID and the corresponding domain may be restricted.
4. 4. In the process of investigating violations of Article 6 of these Terms and Conditions, the Company may temporarily suspend the use of the member's ID and domain if it is necessary to protect the rights and interests of other users and maintain the order of the Service, such as if the member's ID and domain are directly related to a specific violation. In this case, the user may file an appeal through the service homepage or e-mail.

 

Article 12 Rights and Responsibilities of Posts

1. 1. The responsibility and rights for posts created by members in the Service belong to the member who registered the post. However, for posts or content created and provided to the Service by the Member after receiving rewards or subsidies from the Brand, the Brand shall have the right to use the content domestically and overseas for one year from the date of registration of the content link.

① The above rights include the right to reproduce, display, distribute, portray, and create derivative works of such content, and the Company and the Brand must indicate the source when using such content.

② The Company may request the Brand to stop using such works after one year, and the Brand shall comply with such request in good faith.

③ The Company may request the Brand to discontinue the use of the work if the Company assesses that the content is likely to infringe on the rights of others or violates the Company's policies or applicable laws.

2. 2. The Company cannot monitor and manage the contents created by users and is not responsible for them. The Company is not responsible for and does not guarantee the reliability, truthfulness, accuracy, etc. of the posts registered by users. However, the Company may take measures to sanction posts that violate the Company's operating policies or relevant laws (such as advertising and promotional posts, obscene, violent messages, and other posts that violate public order and morals).
3. 3. Copyright and intellectual property rights for the service and the copyright of posts created by the company belong to the company. However, posts created by users alone or jointly and works provided under an affiliation agreement are excluded.
4. 4. The user authorizes the Company to use the posts posted by the user in the Service for the following purposes domestically and internationally. If the Company uses the User's postings by this Article, the Company shall comply with the provisions of the Copyright Act, and the User may request measures such as deletion, exclusion from search results, and non-disclosure of such postings at any time through the Customer Center.

① Modifying the size of the post, such as converting or simplifying it, to use it within the Service (including when the Service is provided within a certain area of a site or media operated by a third party).

② To cause the media, telecommunications companies, etc. to report or broadcast the contents of the post or to reproduce, transmit, or display the post to promote the Company's services; however, in this case, the Company shall not provide the post or the user's information to the media, telecommunications companies, etc. without the user's consent.

5. 5. If a member withdraws from membership, all works recorded in his/her domain will be deleted. However, if the work was created through collaboration, the post may remain on the domain of the co-author, and the Company shall not be liable if the work is not deleted and is reposted because it is stored by a third party or reproduced through unauthorized copying. In addition, in the case of a member who violates these Terms and Conditions and related laws, the Company may retain the member's ID and member information to the extent permitted by related laws even after withdrawal of membership to protect other members and to be used as evidence upon request by a court, investigative agency, or related organization.
6. 6. The user shall be solely responsible for any civil or criminal liability arising from the infringement of intellectual property rights such as the copyright of the Company or a third party by the user's posts or works.

 

Article 13 Management of Postings

1. 1. If a user's post contains content that violates relevant laws such as the Information and Communication Network Act and the Copyright Act, the right holder may request the suspension or deletion of the post by the procedures prescribed by relevant laws, and the Company shall take measures by relevant laws.
2. 2. Even if there is no request from the right holder under the preceding paragraph, the Company may take temporary measures against the postings by the relevant laws if there are reasons to recognize infringement of rights or if the postings violate these Terms and Conditions, other Company policies, or relevant laws.

 

Article 14 Change and Suspension of Service Use

1. 1. Members may request the Company to withdraw their membership at any time, and if they wish to stop using the Service, they may apply to the Company for suspension through the service page provided by the Company or by e-mail. If the Company receives such a request, the Company shall promptly process it according to the method separately notified by the Company.
2. 2. If the user violates the user's obligations in Article 6 of these Terms and Conditions and interferes with the normal operation of the service, the company may restrict the user's qualifications, terminate the use contract, or suspend the use of the service for some time after prior notice.
3. 3. Notwithstanding the preceding paragraph, the Company may immediately and permanently suspend the use of the Service if the User violates relevant laws, such as providing and interfering with the operation of illegal programs in violation of the Copyright Act, illegal communication and hacking in violation of the Information and Communication Network Act, distribution of malicious programs, or exceeding access rights.
4. 4. If a user has not changed his/her password for more than 6 months, the Company may instruct the user to change his/her password.
5. 5. The Company provides the user's ID/password change and inquiry service only to users who have provided their e-mail information.
6. 6. If a user does not log in for more than one year, the Company may consider it an inactive account and restrict the use of the services provided by the Company. To use the service again after being designated as a dormant account, the user must fulfill the identity verification procedures prescribed by the Company for transaction security.
7. 7. The Company will delete dormant account information one year after the date of conversion to dormant member processing.
8. 8. The user may re-register after the account has been deleted by the above provisions.

 

Article 15 Limitation of Liability

1. 1. The Company shall not be liable for any obstacles to the use of the Service caused by reasons attributable to the User, such as failure to comply with the Terms of Service, methods of use, and standards of use.
2. 2. The Company does not guarantee the reliability, accuracy, etc. of the information, data, and facts posted through the Service.
3. 3. The Company shall be exempted from liability in the event of transactions between users or between users and third parties through the Service.
4. 4. The Company shall not be liable for the use of services that are provided free of charge unless there is a special provision in the relevant law.
5. 5. The Company shall be exempted from liability if it is unable to provide the Services due to natural disasters, war, suspension of services by long-term telecommunications carriers, authentication failure of open IDs provided by third parties, technical defects that are difficult to solve, or other force majeure.
6. 6. The Company shall be exempted from liability if the Service is suspended or impaired due to unavoidable reasons such as repair, replacement, regular inspection, or construction of facilities for the Service announced in advance.
7. 7. The user shall be responsible for any damage to the computer system or loss of data or information caused by downloading or accessing specific programs or information using the Company's services by his/her own decision.
8. 8. The Company shall be exempted from liability if the damage is caused by the telecommunications service provider stopping or not providing telecommunications service normally.
9. 9. The Company shall not be liable for damages caused by reasons attributable to the user, such as computer errors, inaccurate entries of personal information and e-mail addresses, and neglect of password management.
10. 10. The Company shall not be liable for any problems caused by the user's computer environment or security problems that are not in the scope of the Company's management, or any problems that occur without the Company's fault, such as network hacking that is difficult to defend with the current level of security technology.
11. 11. The Company does not guarantee or take responsibility for the accuracy, content, completeness, legality, reliability, etc. of important information on the contents provided by the Service, and is not ultimately responsible for the deletion, storage failure, misdirection, or provision of information on the Site. In addition, the Company is not responsible for the reliability, accuracy, completeness, quality, etc. of information, materials, and facts posted or transmitted by users within the Service or on the Website.
12. 12. The Company shall not be obligated to intervene in any disputes arising through the Service between users or between users and third parties, and shall not be liable for any damages resulting therefrom.
13. 13. The Company shall not be liable for the failure of the User to obtain the expected benefits of using the Service and shall be exempted from liability for damages arising from the User's choice of catering or use of the Service.
14. 14. The Company is not obligated to pre-screen users' posts before registration or to check or review the contents of posts at any time and is not responsible for the results.

 

Chapter 4 Points

 

Article 16 Earning Points

1. 1.'Points' refers to points earned by members through their activities on Wiinfluencer and points earned in connection with marketing activities such as events organized by the Company and earning services, and 'non-members' cannot earn points.
2. 2. 'Points' are earned by authorization of the Company. The criteria for accumulating 'points' may be changed by the Company's internal policies, and in the event of a change, the user shall be notified in advance by posting a notice on the notice board with a grace period.

 

Article 17 Use and Withdrawal of Points

1. 1. To use 'Points', a member must acquire the status of a member through membership registration. The order of use of accumulated points shall be deducted from the available points held by the member (hereinafter referred to as 'Available Points') in priority order, starting with the points with the earliest expiration date.
2. 2. Members may receive gifts (including gift certificates) designated by the Company or its affiliates in exchange for points. However, to do so, the member must comply with the conditions set by the Company.
3. 3. 'Points' can be withdrawn as cash based on the Company's policy.
4. 4. Members may not transfer points to others or use them for lending or pledging.
5. 5. If the remaining points are negative (-) due to the cancellation of the act of participation if is the source of accumulation of the used points after the use of points, the points that are accumulated cannot be used until the remaining available points become 0 points.

 

Article 18 Correction, Cancellation, and Lapse of Points

1. 1. If there is an error in the accumulated points, the member shall apply for correction to the Company within 60 days from the time of the error, and the Company shall complete the correction procedure within a maximum of 3 months from the date of the member's correction application. However, if necessary, the member shall present objective materials to prove the error in accumulating points.
2. 2. Points will be forfeited upon withdrawal of membership. If no additional points are earned for 24 months from the time of initial accrual, the points held by the member will be forfeited. If the points are to be canceled due to the scheduled date of cancellation, the Company will send a notification via e-mail at least 15 days in advance regarding the cancellation of the points, including the scheduled date and time of cancellation.
3. 3. If a member cancels or refunds a purchased service, etc., the points earned or used will be canceled.
4. 4. If a member uses various discount codes and points provided by the company for fraudulent purposes, the company may deprive the discount code and points without prior notice.

 

Chapter 5 Personal Information Protection

 

Article 19 Personal Information Protection Obligations

1. 1. The Company endeavors to protect the personal information of users by relevant laws and regulations such as the Information and Communications Network Act. The protection and use of personal information shall be governed by applicable laws and the Company's privacy policy. However, the Company's privacy policy does not apply to linked sites other than the Company's official site.
2. 2. The Company shall promptly destroy the user's personal information if the service is discontinued or the user withdraws the consent to provide personal information. However, certain information may be retained as prescribed by relevant laws, such as the Act on Consumer Protection in Electronic Commerce, etc.
3. 3. The Company may collect additional personal information as prescribed by relevant laws with the consent of the user to improve the service and introduce the service to the user.
4. 4. The Company shall not disclose or provide any personal information, including the user's account information, to any third party without the user's separate consent, unless there are special provisions in the law.
5. 5. The Company may provide links and other methods to use your account information for your convenience in the services it provides in the future.

 

Chapter 6 Miscellaneous

 

Article 20 Posting, Effectiveness, and Amendment of the Terms

1. 1. These Terms shall be effective for all users who wish to use the Service.
2. 2. The contents of these Terms shall be notified to users by posting within the Service and shall take effect when users who agree to them use the Service provided by the Company.
3. 3. If the company changes the terms and conditions, the date of application and the reason for the change are notified by posting on the notice board in the service, and it is notified 7 days before the date of application. However, if the change of the terms and conditions is unfavorable to the user, they will be notified 30 days before the effective date, and the user will be notified individually by sending application notification (PNS), in-app notification menu, email, etc. However, if it is difficult to notify the user individually due to the lack of contact information or uncorrected changes after the change, it shall be deemed to be notified by posting a notice on the notice board in the service.
4. 4. The user has the right to disagree with the terms and conditions that the Company changes by the preceding paragraph, and in this case, the user may indicate the intention to stop using the service provided by the member company and request the termination of service use. However, if the Company notifies the user of the contents of the changed terms and conditions and does not express an intention to refuse by the effective date of the change in terms and conditions, the user shall be deemed to have agreed to the change in terms and conditions, and the user does not express an intention to refuse, the user shall be deemed to have agreed to the changed terms and conditions.

 

Article 21 Jurisdiction and Governing Law

1. 1. The Seoul Central District Court shall have exclusive jurisdiction over any disputes related to these Terms and Conditions arising between the Company and the User.
2. 2. The laws of Korea shall apply to any litigation related to these Terms between the Company and the User.

 

Article 22 Interpretation of Terms and Exceptions

1. 1. The Company may have separate terms of use and policies for individual services it provides, and if the contents conflict with these Terms, the terms of use of the individual service shall prevail.
2. 2. If any matter not specified in these Terms and Conditions is stipulated in the relevant laws and regulations, it shall be subject to those regulations.

Wise Commerce Co., Ltd. (hereinafter referred to as the 'Company') protects users' personal information and rights and interests by relevant laws such as the Act on Promotion of Information and Communications Network Utilization and Information Protection (hereinafter referred to as the 'Information and Communications Network Act') and the Personal Information Protection Act, and to smoothly deal with users' grievances, we have the following handling policies.

 

1. 1. Purpose of collection and use of personal information

The company collects only the minimum amount of personal information to provide services for the following purposes, and does not use the collected information for any other purpose or disclose it to the outside without the user's consent.

1) Member management: Personal identification according to membership service provision, confirmation of intent to join, use restriction measures for members who violate the terms of use, sign-up and limit the number of times of sign-up, restriction on illegal use of service, prevention of unauthorized use, personal information of children under the age of 14 Confirmation of the consent of the legal representative at the time of collection, identification of the legal representative later, preservation of records for grievance handling and dispute mediation, delivery of notices, confirmation of intention to withdraw from membership

2) New service development and utilization for marketing advertising: development of new services and provision of customized services, provision of services and advertisements according to demographic characteristics, validation of services, provision of event/advertisement information and opportunities to participate, identification of access frequency, Statistics on members' service use

 

2. 2. Items of personal information to be collected and methods of collection

The company collects personal information in the following cases.

3. 3. Provision of personal information to third parties

The company provides related information to the following companies to the extent necessary to provide smooth service.

4. 4. Consignment of handling of personal information

The company entrusts some services to specialized companies to provide improved services. When consigning, the company takes necessary measures to ensure that personal information is safely managed in accordance with relevant laws and regulations and that only the minimum amount of personal information necessary for the task of the consignment agency is delivered.

5. 5. Retention and use period of personal information

In principle, the company destroys the user's personal information without delay when the purpose of collection and use is achieved. However, the following cases are exceptions.

6. 6. Personal information destruction procedures and methods

In principle, the company destroys personal information without delay when the purpose of processing personal information is achieved, and the destruction procedure and method are as follows.

1) Destruction procedure

The information entered by the user for membership registration, etc., is transferred to a separate DB after the purpose of collection is achieved (separate documents in the case of paper) and is stored for a certain period or immediately destroyed by internal policies and other related laws. At this time, the personal information transferred to a separate DB will not be used for any other purpose except in cases required by law.

2) Destruction method

- Information in electronic files is deleted using a technical method that cannot reproduce the record.
